i have looked at tom tom website and noticed that tosiba e740 may not be compatible to upgrade to v5 any ideas as to why not also is there much difference between v3 and v5

Maybe because of the USB connection - TomTom 5 only supports serial and BlueTooth.

other than that it should actually work.

the pda is bluetooth but the navigator is wired

that may be why. If you use a BT receiver it will definitely work. But I don't know about support for the USB>Serial converter that you are using.
